Consumer Terms of Sale

These Consumer Terms of Sale (“Terms”) govern purchases of products from Ody Health, a Wyoming corporation doing business as Pet Life Journey (“PLJ,” “we,” “us,” or “our”).

These Terms apply when you purchase a product sold by PLJ through petlifejourney.com, a PLJ-operated partner storefront, PLJ-controlled checkout integrated with or linked from a partner website, or another PLJ commerce experience (collectively, the “PLJ Store”).

By placing an order with PLJ, you agree to these Terms.

1.PLJ IS THE SELLER

1.1Seller

Products identified as PLJ products and purchased through PLJ-controlled checkout (“Products”) are sold to you by:

PLJ is the seller and merchant of record for those transactions.

1.2Partner Storefronts

PLJ works with animal rescues, veterinary organizations, clubs, associations, nonprofit organizations, and other organizations and communities (“Partners”).

You may encounter PLJ Products through a storefront, webpage, link, or other experience associated with one of these Partners.

Unless expressly stated otherwise at checkout, the Partner is not selling the PLJ Product to you. Your purchase transaction is with PLJ.

1.3Partner Benefit

When you purchase a Product through a participating Partner’s PLJ Store, PLJ may make a payment to that Partner in connection with your purchase.

Where applicable law requires additional disclosures concerning the amount or nature of the benefit received by a charitable Partner, those disclosures will be presented in connection with the applicable promotion or transaction.

2.ELIGIBILITY

You must be legally capable of entering into a binding contract to place an order.

By placing an order, you represent that:

1. (a)the information you provide is accurate;
2. (b)you are authorized to use the payment method provided; and
3. (c)your purchase and use of the Product will comply with applicable law.

Products are intended for personal or household use unless PLJ expressly authorizes another use.

3.PRODUCT INFORMATION

3.1Product Descriptions

PLJ attempts to provide accurate Product descriptions, images, specifications, sizes, quantities, ingredients, instructions, warnings, and other Product information.

Product packaging, appearance, formulation, specifications, or other characteristics may change from time to time.

Where information displayed through the PLJ Store differs materially from the information accompanying the Product you receive, you should review and follow the current Product label, packaging, warnings, and instructions before use.

3.2Images

Product images are illustrative. Packaging, labeling, colors, sizes, and other visual characteristics may differ from images displayed online.

3.3Availability

All Products are subject to availability.

PLJ may add, remove, discontinue, restrict, or suspend Products at any time, including because of:

1. (a)inventory availability;
2. (b)supplier changes;
3. (c)Product discontinuation;
4. (d)safety concerns;
5. (e)recalls;
6. (f)regulatory requirements; or
7. (g)other legitimate business reasons.

4.PET HEALTH INFORMATION

4.1General Information

Product descriptions and other information provided through the PLJ Store are intended to provide general information concerning Products.

Unless expressly stated otherwise, information provided through the PLJ Store is not individualized veterinary advice and is not a substitute for consultation with a licensed veterinarian.

4.2Product Use

You are responsible for reviewing and following Product labels, instructions, warnings, dosage or administration directions, storage requirements, and other information accompanying the Product.

4.3Veterinary Consultation

You should consult an appropriate veterinarian regarding questions concerning your animal’s health, diagnosis, treatment, medications, dietary requirements, or whether a particular Product is appropriate for your animal.

4.4Emergencies

The PLJ Store and PLJ customer service are not veterinary emergency services.

If you believe your animal is experiencing a medical emergency, contact a veterinarian or veterinary emergency facility.

4.5Partner Statements

A Partner may independently provide veterinary, nutritional, educational, or other information.

Unless expressly identified as information provided by PLJ, statements independently made by a Partner are the Partner’s statements and are not veterinary or professional advice provided by PLJ.

5.PRICES

5.1Displayed Price

The price displayed for a Product when you place your order is the price applicable to your purchase, subject to correction of obvious errors as described below.

Different Partner Stores may offer the same Product at different prices.

5.2Price Changes

Product prices may change at any time.

A price change does not affect an order already accepted by PLJ except where necessary to correct an obvious pricing error and permitted by law.

5.3Pricing Errors

PLJ may correct an obvious pricing, typographical, or other material error before shipment.

If correction would increase the amount charged to you, PLJ will not charge the increased amount without obtaining any authorization required by applicable law. PLJ may instead cancel the affected order and refund amounts already paid.

6.TAXES AND SHIPPING CHARGES

6.1Taxes

Applicable sales, use, and similar transaction taxes will be calculated and displayed at checkout where required.

6.2Shipping

Applicable shipping or delivery charges will be disclosed before you submit your order.

6.3Total Charge

You will have an opportunity to review the total amount of your order before submitting it.

7.ORDERS

7.1Order Submission

Submitting an order constitutes an offer to purchase the Products identified in your order.

7.2Order Acceptance

An automated acknowledgment that PLJ has received your order does not necessarily constitute acceptance.

PLJ may accept your order by processing it for fulfillment, shipping the Product, or otherwise confirming acceptance.

7.3Order Refusal or Cancellation

PLJ may refuse or cancel an order before shipment for legitimate reasons, including:

1. (a)Product unavailability;
2. (b)suspected fraud or unauthorized payment;
3. (c)pricing or Product-information errors;
4. (d)quantity restrictions;
5. (e)shipping restrictions;
6. (f)regulatory restrictions;
7. (g)safety concerns; or
8. (h)suspected misuse of the PLJ Store.

If PLJ cancels an order after collecting payment, PLJ will refund the amount collected for the cancelled portion of the order.

7.4Quantity Limits

PLJ may establish reasonable quantity limits for particular Products or transactions.

8.PAYMENT

8.1Payment Methods

PLJ accepts the payment methods displayed at checkout.

8.2Authorization

By submitting payment information, you authorize PLJ and its payment processors to charge the applicable amount to your selected payment method.

8.3Payment Processing

Payment information may be processed by third-party payment processors acting on PLJ’s behalf.

8.4Failed Payments

If payment cannot be successfully processed, PLJ may decline, suspend, or cancel the applicable order.

9.SHIPPING AND DELIVERY

9.1Fulfillment

PLJ may fulfill Products through manufacturers, suppliers, warehouses, fulfillment providers, carriers, or other service providers.

The use of a third-party fulfillment provider does not change PLJ’s status as seller of the Product.

9.2Shipping Address

You are responsible for providing an accurate and complete shipping address.

You should promptly contact PLJ if you discover an error in your shipping information.

PLJ cannot guarantee that an address can be changed after an order enters fulfillment.

9.3Delivery Estimates

Shipping and delivery dates are estimates unless PLJ expressly states otherwise.

Delivery may be affected by carriers, weather, inventory, supply-chain interruptions, holidays, natural disasters, or other circumstances outside PLJ’s reasonable control.

9.4Tracking

Where available, PLJ may provide shipment tracking information electronically.

9.5Delivery Problems

If your Product is lost, materially damaged during shipment, or materially different from what you ordered, contact PLJ customer service at info@petlifejourney.com.

10.RETURNS, REFUNDS, AND REPLACEMENTS

10.1Return Policy

Returns, refunds, replacements, and exchanges are governed by PLJ’s Return and Refund Policy in effect at the time of purchase, which is incorporated into these Terms.

The applicable policy will be made available through the PLJ Store.

10.2Product-Specific Restrictions

Certain Products may be subject to restrictions on returns because of:

1. (a)health or safety considerations;
2. (b)opened or used packaging;
3. (c)perishability;
4. (d)contamination risk;
5. (e)expiration or shelf-life limitations;
6. (f)manufacturer restrictions; or
7. (g)applicable law.

Any material restriction applicable to a Product will be disclosed as required by applicable law.

10.3Defective or Incorrect Products

If you receive a Product that is defective, damaged, or materially different from the Product ordered, contact PLJ customer service.

PLJ may request photographs, lot numbers, packaging information, or other reasonable information necessary to investigate the issue.

10.4Statutory Rights

Nothing in these Terms limits a refund, replacement, warranty, or other consumer right that cannot lawfully be waived.

11.SUBSCRIPTIONS AND AUTOMATIC REPLENISHMENT

11.1Applicability

PLJ may offer certain Products through subscriptions, automatic replenishment, continuous-service arrangements, or other recurring-purchase programs (“Subscriptions”).

Subscription terms presented to you when you enroll are incorporated into these Terms.

11.2Recurring Charges

If you enroll in a Subscription, you authorize PLJ to charge your selected payment method at the frequency and in the amount or manner disclosed to you when you enroll, until the Subscription is cancelled or otherwise terminates.

Applicable taxes and disclosed shipping charges may also be charged.

11.3Affirmative Consent

PLJ will obtain any affirmative consent to recurring charges required by applicable law before charging you under a Subscription.

Your purchase of a one-time Product does not, by itself, enroll you in a Subscription.

11.4Subscription Acknowledgment

After enrollment, PLJ will provide you with an acknowledgment containing the Subscription terms and information concerning how to cancel, in a form capable of being retained where required by applicable law.

11.5Cancellation

You may cancel a Subscription using the cancellation method made available by PLJ.

If you enrolled online, PLJ will provide an online cancellation method as required by applicable law.

Where applicable law requires cancellation through the same method of communication used to enroll, PLJ will provide that cancellation method.

Cancellation will take effect as required by applicable law and the Subscription terms presented at enrollment.

11.6Orders Already Processing

Cancellation may not cancel an order that has already entered fulfillment before cancellation becomes effective.

Any such order remains subject to PLJ’s applicable Return and Refund Policy.

11.7Price Changes

PLJ may change the price of a Subscription prospectively.

PLJ will provide notice and obtain consent to a price change where required by applicable law before charging the changed price.

11.8Renewal and Other Notices

PLJ will provide renewal reminders, annual reminders, trial-expiration notices, promotional-price notices, price-change notices, and other Subscription notices where and when required by applicable law.

11.9Product Availability

If a Product in a Subscription becomes unavailable, discontinued, recalled, restricted, or otherwise cannot reasonably be supplied, PLJ may cancel or suspend future shipments.

PLJ will not substitute a materially different Product and charge you for it without any authorization required by applicable law.

12.PROMOTIONS, COUPONS, AND DISCOUNTS

PLJ may offer coupons, discounts, promotional codes, introductory offers, bundles, free shipping, or other promotions.

Promotions may be subject to additional terms disclosed with the applicable offer.

Unless otherwise stated:

1. (a)promotions have no cash value;
2. (b)promotions cannot be combined where expressly prohibited;
3. (c)promotions may be limited by Product, quantity, customer, Partner Store, or time period; and
4. (d)PLJ may refuse use of a promotion obtained or used through fraud, manipulation, or material violation of its terms.

13.CHARITABLE PARTNER PROMOTIONS

13.1Purchase Benefiting a Charitable Organization

Some PLJ Stores may be associated with nonprofit or charitable Partners.

Where PLJ represents that a purchase will financially benefit a charitable Partner, PLJ will provide disclosures concerning the benefit as required by applicable law.

13.2Purchase Is Not Necessarily a Donation

Unless expressly stated otherwise, your purchase is a purchase of a Product from PLJ and is not a direct charitable donation by you to the Partner.

13.3Tax Deductibility

PLJ does not represent that any portion of your Product purchase is deductible as a charitable contribution unless PLJ expressly states otherwise.

You should consult your own tax adviser regarding the tax treatment of a transaction.

14.PRODUCT RECALLS AND SAFETY NOTICES

PLJ may contact you regarding:

1. (a)Product recalls;
2. (b)safety notices;
3. (c)warnings;
4. (d)corrections;
5. (e)Product withdrawals; or
6. (f)other important Product information.

You agree that PLJ may use contact information associated with your order for Product-safety and recall communications where permitted by law.

If PLJ or a Product manufacturer issues instructions concerning a recall or safety matter, you should follow those instructions.

15.MANUFACTURER WARRANTIES

A Product may be accompanied by a warranty offered by its manufacturer.

Any manufacturer warranty is provided under the manufacturer’s applicable warranty terms.

PLJ may assist you in identifying or contacting the manufacturer concerning an applicable warranty but does not assume the manufacturer’s independent warranty obligations merely by selling the Product.

Nothing in this Section limits warranty rights you may have against PLJ under applicable law.

16.DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY PLJ OR RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED, PRODUCTS AND THE PLJ STORE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

PLJ DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

NOTHING IN THESE TERMS DISCLAIMS OR LIMITS ANY IMPLIED WARRANTY, STATUTORY WARRANTY, OR OTHER CONSUMER RIGHT THAT APPLICABLE LAW DOES NOT PERMIT PLJ TO DISCLAIM OR LIMIT.

17.LIMITATION OF LIABILITY

17.1Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLJ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO A PURCHASE OR THESE TERMS.

17.2Direct Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLJ’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION WILL NOT EXCEED THE GREATER OF:

1. (a)THE AMOUNT YOU PAID TO PLJ FOR THE PRODUCT GIVING RISE TO THE CLAIM; OR
2. (b)$500.

17.3Exceptions

The limitations in this Section do not apply to:

1. (a)liability that applicable law prohibits PLJ from limiting;
2. (b)PLJ’s fraud or willful misconduct;
3. (c)personal injury or property damage to the extent liability cannot lawfully be limited; or
4. (d)statutory consumer remedies that cannot lawfully be waived or limited.

18.PARTNER RESPONSIBILITY

18.1PLJ Product Transactions

Questions concerning orders, payments, shipping, returns, refunds, or other PLJ Product transactions should be directed to PLJ rather than the Partner associated with the PLJ Store.

18.2Partner Independent Activities

PLJ is not responsible for products or services independently sold by a Partner outside the PLJ transaction.

If you purchase a Partner’s own product or service through a separate Partner-controlled transaction, the applicable Partner’s terms govern that transaction.

19.PRIVACY

PLJ’s collection, use, disclosure, and other processing of Personal Information is governed by the Pet Life Journey Privacy Notice.

When you purchase through a Partner-associated PLJ Store, PLJ may provide certain information concerning you and your transaction to the applicable Partner as described in the Privacy Notice and subject to applicable law and your legally effective privacy choices.

20.FRAUD AND MISUSE

You may not:

1. (a)use the PLJ Store for fraudulent or unlawful purposes;
2. (b)provide false payment or identity information;
3. (c)interfere with PLJ Store security or operation;
4. (d)attempt unauthorized access to PLJ systems;
5. (e)manipulate promotions, referral systems, Partner attribution, or pricing;
6. (f)purchase Products for unauthorized resale where PLJ has restricted resale; or
7. (g)otherwise materially misuse the PLJ Store.

PLJ may refuse or cancel orders associated with suspected fraud or material misuse, subject to applicable law.

21.ELECTRONIC COMMUNICATIONS

You agree that PLJ may provide transaction-related communications electronically, including:

1. (a)order confirmations;
2. (b)receipts;
3. (c)shipping notifications;
4. (d)return and refund communications;
5. (e)Subscription notices;
6. (f)Product-safety communications; and
7. (g)other notices relating to your transaction.

Marketing communications remain subject to applicable law and your applicable marketing choices.

22.GOVERNING LAW

These Terms and transactions governed by them are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent another jurisdiction’s mandatory consumer-protection law applies and cannot lawfully be waived.

23.DISPUTES; VENUE

23.1No Mandatory Arbitration

These Terms do not require you to submit disputes to arbitration.

PLJ and you may mutually agree to mediation or arbitration after a dispute arises.

23.2Venue

Subject to applicable consumer-protection law concerning jurisdiction or venue, any judicial action arising out of or relating to these Terms or a PLJ transaction will be brought in a state or federal court of competent jurisdiction located in Los Angeles County, California.

23.3Small Claims

Nothing in these Terms prevents either party from bringing an eligible claim in small claims court where permitted by applicable law.

24.CHANGES TO THESE TERMS

PLJ may update these Terms prospectively from time to time.

The Terms applicable to a one-time purchase are the Terms in effect when the applicable order is placed.

For an ongoing Subscription, PLJ may modify applicable terms prospectively subject to any notice, consent, cancellation, or other requirements imposed by applicable law.

A change to these Terms does not retroactively eliminate or materially reduce rights that accrued before the change.

25.SEVERABILITY

If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, and the remaining provisions will remain in effect.

26.NO WAIVER

PLJ’s failure to enforce a provision of these Terms does not waive PLJ’s right to enforce that provision or another provision later.

27.ENTIRE AGREEMENT

These Terms, together with:

1. (a)the applicable order information;
2. (b)any Product-specific terms presented before purchase;
3. (c)applicable Subscription terms;
4. (d)PLJ’s Return and Refund Policy; and
5. (e)other terms expressly incorporated into these Terms,

constitute the agreement between you and PLJ concerning the applicable Product purchase.

PLJ’s Privacy Notice governs privacy matters but does not form part of the contract of sale except to the extent expressly stated.
